• Photography and image creation
• Creative direction and strategy
• Post-production services

3. Intellectual Property Rights

Client Content: You retain all rights to content you provide to us. By providing content, you grant us a license to use it solely for the purpose of delivering our services.

Deliverables: Upon full payment, you own all rights to the final deliverables we create for you, except for any pre-existing materials or third-party content.

Our Materials: We retain ownership of our proprietary tools, processes, methodologies, and any pre-existing materials used in creating your content.

4. Payment Terms

• Payment terms will be specified in individual project agreements
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur interest charges
• We reserve the right to suspend services for overdue accounts

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our business relationship. This obligation survives the termination of these terms.

6. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• Services are provided "as is" without warranties of any kind
• We do not guarantee specific results or outcomes
• We are not responsible for third-party platform changes or policies

7. Limitation of Liability

Our liability for any claim arising from these terms or our services shall not exceed the amount paid by you for the services giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

8. Indemnification

You agree to indemnify and hold harmless Production Company from any claims arising from your use of our services, violation of these terms, or infringement of any third-party rights.

9. Termination

Either party may terminate services with written notice. Upon termination, you must pay for all services rendered up to the termination date. Termination does not relieve either party of obligations incurred prior to termination.

10. Revisions and Approvals

Project-specific revision policies will be outlined in individual agreements. Additional revisions beyond the agreed scope may incur additional charges.

11. AI-Generated Content

You acknowledge that we use AI technologies in our production process. While we strive for accuracy and quality, AI-generated content may require human review and modification.

12. Governing Law

These terms are governed by the laws of the United States and the State of New York. Any disputes shall be resolved in the courts of New York.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of modified terms.
